THIS IS AN INTERNET-ONLY AUCTION. This auction is facilitated by PCI Auctions New England, based in Maine. By registering a bidder profile and participating in this auction, you enter into a legal, valid, and binding contract with PCI Auctions ("Auctioneer") and agree to be bound by all terms, conditions, and disclosures outlined below.

SUMMARY OF CORE TERMS

AS-IS, WHERE-IS: All items are sold with no warranty or guarantee, expressed or implied. Item descriptions and photographs are for identification purposes only and are not guaranteed to be 100% accurate.

NO REFUNDS OR CHARGEBACKS: All sales are final. No refunds, credits, or chargebacks will be issued for any reason, including buyer error, item completeness, or condition.

TESTED AND WORKING: Indicates basic functionality was verified at our warehouse. This does not guarantee performance after transit, removal, or installation. Unlisted functionality should not be assumed.

REFRIGERATION NOTICE: To prevent permanent compressor damage, you must wait 48 to 72 hours after transporting any refrigeration unit before plugging it in.

AUCTIONEER RIGHTS: PCI Auctions reserves the right to add/remove items, split/combine lots, establish minimums/reserves, extend or reschedule an item or auction event, or alter closing, inspection, or pickup times without notice.

PAYMENT TERMS AND TAXES

The only accepted payment methods are Wire Transfer or Overnight Cashier's Check. Full payment must be received, verified, and cleared by our financial institution before any items are released, scheduled for removal, or loaded. No personal checks, business checks, or credit cards are accepted.

PAYMENT DEADLINE: Full payment must clear before your scheduled removal day. If paying via cashier's check, it must be sent via an overnight trackable courier (FedEx, UPS, or USPS Priority Express) to ensure delivery and clearing prior to pickup.

DELINQUENCY AND COLLECTIONS: Unpaid invoices by the close of the scheduled removal day are considered delinquent and sent to collections. Delinquent accounts face personal and corporate liability for all unpaid balances, plus 0.5% monthly interest (6% annually), collection fees up to 100%, court costs, and reasonable attorney fees.

BUYER'S PREMIUM: An 18% buyer's premium will be added to the final hammer price of each item.

SALES TAX: Applicable Texas state and local sales tax applies to the total purchase price (winning bid + buyer's premium) on all standard items. EXCEPTION: Sales tax is NOT collected by the Auctioneer on motor vehicles, titled trailers, or food trailers; buyers are solely responsible for paying any applicable sales tax, road taxes, or registration fees directly to the tax assessor-collector or local DMV upon titling.

BIDDING MECHANICS AND CATALOG RULES

REGISTRATION AND ACCOUNT SECURITY: Bidders must be 18+ years old and provide accurate information. You are legally and financially responsible for all bids placed from your account. Suspected unauthorized access must be reported immediately to [email protected] alongside a formal police report.

BIDS ARE FINAL: Bids cannot be deleted, reversed, or canceled. If a severe clerical mistake occurs (e.g., missed decimal point, typing your bidder number in the bid field), you must IMMEDIATELY contact the division in charge. No bids will be altered under any circumstances once the auction catalog begins to close.

TIMES YOUR BID () LOTS: Items marked with an asterisk () or featuring a multiplier (e.g., x5) are sold per piece. Your entered bid is multiplied by the quantity in that lot.

DUPLICATE MAX BIDS: The bidding system does not allow identical max bids. To break a tie, the system automatically appends $0.01 to the first chronological max bid received to maintain that bidder's winning status.

STAGGERED AND DYNAMIC CLOSING: Bidding closes in catalog order at a rate of 3 or more items per minute. However, any bid placed within the final 3 minutes of an item's countdown will trigger an automatic 3-minute extension. An item will close permanently after a maximum of 10 extensions regardless of late bids.

INVOICE NOTIFICATION: Invoices are delivered via email ONLY following the close of the auction. Bidders are responsible for monitoring their junk/spam folders. If you believe you won an item but did not receive an invoice, you must notify us by email no later than 9:00 AM the following morning.

CONNECTED EQUIPMENT DISPLAYS: For operational or staging demonstration purposes, some catalog items may be photographed while connected. Do not assume a lot contains multiple units unless explicitly stated in the written text description. Rely on item descriptions over photographs if a discrepancy appears.

REMOVAL, SHIPPING AND STORAGE

DO NOT BID if you cannot clear your payment prior to pickup, remove items during the designated window, or arrange proper transport.

REMOVAL APPOINTMENTS: Pickup is strictly by appointment only. Contact Josh at 207-671-2154 to schedule. Arriving late or failing to budget sufficient loading time may result in being turned away until the next business day or assessed an after-hours pickup fee.

LOADING ASSISTANCE AND LIABILITY: While staff may assist with loading in select instances, the buyer retains 100% liability for any damage to goods, transport vehicles, or facilities during transit or loading. Staff will not strap or tie down loads. Unsafe loading requests (including laying refrigeration equipment flat) require a signed liability waiver.

MISSING OR DAMAGED ITEMS: Buyers must notify on-site staff of any discrepancies or missing items BEFORE leaving the premises to file a valid claim. Once you or your agent exit the lot, no adjustments, claims, or refunds will be processed.

AUTHORIZED REPRESENTATIVES: If sending a third party or transport company to collect your items, you must email a signed invoice and explicit written release authorization ahead of time. The representative must present a valid government-issued photo ID upon arrival.

SHIPPING AND OFF-SITE TRANSPORT: To arrange shipping or a nationwide food trailer transport quote, contact Josh at 207-671-2154 immediately after the auction closes.

On-Site Auctions: Items left at off-site auction locations requiring warehouse transport or professional extraction by our team will incur mandatory transportation and removal fees.

Carrier Damage: Auctioneer is zero-rated for damage sustained during third-party transport or freight. Extra fragile packaging requirements (dishes, glassware) will incur additional handling fees.

STORAGE FEES: Storage fees accrue at a flat rate of $50.00 per day, per auction, starting immediately once payment clears, unless items are extracted or prior formal storage contracts are executed. All items must be collected within 5 business days.

FORFEITURE AND ABANDONMENT: Items not collected or arranged for shipping by the end of the scheduled removal day are deemed legally abandoned. Abandoned items may be resold, stored, or disposed of at the buyer's expense. Forfeiting items completely does not absolve the buyer of their invoice total; you remain fully liable for the invoice balance and any subsequent disposal fees.

VEHICLE / EQUIPMENT TITLE TERMS AND CONDITIONS

AGENCY CAPACITY AND TITLE DISCLAIMER (TEXAS CONSIGNMENTS)
Pursuant to Texas Business and Commerce Code Section 2.312(b), PCI Auctions acts exclusively as a consignment agent for third-party sellers. Auctioneer does not own, hold title to, or possess any proprietary interest in these assets. Auctioneer hereby excludes and disclaims all warranties of title. Auctioneer purports to transfer only such right, title, or interest as the third-party consignor possesses.

OUT-OF-STATE AND EXPORT BUYERS
Titling, registration, and compliance laws vary drastically by jurisdiction. Auctioneer makes no guarantee that a paid auction invoice or bill of sale is sufficient to secure a title or registration in your home state. It is the buyer's absolute responsibility to complete due diligence with their home DMV prior to bidding. Auctioneer will not supply state-specific export documentation, notarized title affidavits, or Manufacturer Certificates of Origin (MCO).

SALES TAX AND DMV FEES
PCI Auctions does NOT collect sales tax on motor vehicles, titled trailers, or food trailers at the time of purchase. The buyer acknowledges that they are independently responsible for paying all applicable state sales taxes, title transfer fees, registration fees, and usage taxes directly to their state's motor vehicle division or governing tax authority when applying for a title or registration.

TEXAS 4,000 LBS TRAILER THRESHOLD
Texas law mandates a formal title for all trailers with a gross vehicle weight rating (GVWR) exceeding 4,000 lbs. These units are sold without a guaranteed title. The buyer’s paid receipt is the exclusive document provided and serves as the official bill of sale from the consignor.

RECOURSE FOR REGISTRATION ISSUES
If a buyer cannot title an asset locally using the provided bill of sale, the buyer agrees to pursue a Bonded Title or "Ownership in Doubt" registration at their own expense. Registration or titling delays/denials do not constitute grounds for a refund, credit, or sale cancellation.

ITEMS SOLD WITH "BILL OF SALE ONLY"
Certain assets are explicitly marked and sold strictly with a corporate Bill of Sale and paid auction invoice. No physical title is provided, held, or guaranteed by the auction company. The buyer assumes 100% responsibility for independent title recovery. If a registered title is required, buyers can independently utilize private, third-party online title-recovery portals to process applications using their auction invoice:

LEGAL DISCLOSURES

CONDUCT OF SALE: All financial activity, bidding, and accounting are denominated in USD ($). Bidders are strictly prohibited from utilizing hardware, software, scraping tools, or automated systems designed to disrupt, influence, or copy content from the Auctioneer’s bidding platform without express written consent.

CALL MONITORING: Inbound and outbound telephone conversations with PCI Auctions or its personnel may be recorded for quality assurance and contractual verification. Continued participation in any call following verbal or written notice constitutes your legal consent to be recorded under applicable state laws.

DATA ERASURE MANDATE: If a buyer takes possession of any commercial equipment, electronics, or property containing residual proprietary or personal data belonging to the seller or a third party, the buyer contractually agrees to immediately delete and permanently erase all such information. The buyer assumes total liability and agrees to indemnify the Auctioneer against any privacy claims resulting from a failure to comply.

AUCTIONEER STATUS: The Auctioneer acts strictly as an agent for the seller and maintains zero seller liability. Pursuant to Musser v. Vilsmeier Auction Company, Inc., 522 Pa. 367, 563 A.2d 279 (1989), the Auctioneer cannot be held liable to any buyer or third party under any theory of product liability or manufacturing defect.

DISPUTE RESOLUTION, CHOICE OF LAW AND VENUE: At the Auctioneer's sole election, any legal controversy or claim arising out of these terms or an auction event shall be settled via binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

The venue for all proceedings and hearings shall be Lancaster County, Pennsylvania.

The governing law shall be the Commonwealth of Pennsylvania.

Arbitration shall proceed strictly on an individual basis (no class actions) before a single arbitrator selected by the Auctioneer. All costs of arbitration shall be borne solely by the bidder.

LIMITATION OF LIABILITY: The maximum aggregate liability of the Auctioneer and Seller for any claim, loss, or cause of action is strictly limited to a refund of the buyer's actual purchase price.

INDEMNIFICATION: Bidders agree to indemnify, defend, and hold harmless PCI Auctions and the Seller against any current or future claims, losses, damages, liabilities, or injuries to persons or property arising from the use, safety, extraction, or operation of purchased assets.

SEVERABILITY: If any single paragraph, condition, or provision of these terms is deemed invalid or unenforceable by a court of competent jurisdiction, the remaining terms and conditions shall stay in full force and effect.

IMPORTANT TAX-EXEMPT STATUS: Tax-exempt buyers must submit a valid state tax exemption certificate paired with their bidder number to [email protected]. Certificates applied after an auction closing sequence finishes will only apply to future events; retroactive tax processing must be handled directly with the state by the buyer.
